By registering, you are able to download content, subject to these Terms, on this site and others sites as otherwise operated by or provided through TVC. These Terms shall apply to your registration, the use of content provided to you and to any correspondence by e-mail between us and you. By registering with TVC, you acknowledge that you have read these Terms, understand them and agree to be bound by them. You also acknowledge that you have read and understand the Privacy Policy which can be found here. If you do not agree to these Terms or the Privacy Policy, you should not use or access any content on this site. We may in our discretion change these Terms and / or Privacy Policy. If you use content available by registering with us after we have altered these Terms or the Privacy Policy you are agreeing to be bound by those changes.

1. INTRODUCTION
1.1 Each registration is for your use only and not for multiple users. You must not share your user name and password with any other person. Responsibility for the security of any passwords issued rests with you. You agree to notify us immediately if you become aware of the loss, theft or unauthorised use of any password, user ID or of any of the content we make available to you.
1.2 If you breach any of these Terms, you forfeit your permission to access content we provide to you.

1.4 We may from time to time offer other services which may be subject to different terms and conditions and which will be available to you if you use that service (including without limitation the www.digitalnewsagency.com website).

2. USE OF CONTENT
2.1 If you are an unregistered user you may only view content on this site on your computer screen and may not copy, download, modify, alter or in any way otherwise deal with any such content.
2.2 If you are a registered user you are granted a non-exclusive licence by TVC and/or our licensors to download content we provide to you in accordance with these terms and (a) you may edit the content for editorial purposes only but shall not otherwise modify, alter, change, amend or develop the content in any way without prior written consent (b) any editing of the content is only permitted to the extent that the meaning of the content is not substantially changed (c) you shall not reproduce or copy the content for the purposes of sale or distribution nor allow any exhibition of the content, except as specified under these Terms (d) you shall include any specific attribution to the content if applicable (e) you shall ensure that the content does not reduce or diminish the reputation, image and prestige of TVC, our licensors and /or their affiliated entities or a business featured therein. A registered user shall not grant sub-licences, in whole or in part, of any of the rights granted under this agreement, or sub-contract any aspects of exploitation of the rights licensed to it, without TVC's prior written consent.

3. INTELLECTUAL PROPERTY
3.1 Unless otherwise stated, the copyright and other intellectual property rights in the content as provided to you (including without limitation photographs and graphical images) are owned by TVC and/or our licensors and / or our respective affiliated entities. 
3.2 Where a registered user uses content provided through registering with TVC on a website or in a television programme the registered user shall allow TVC to capture such use of the content and display it on the protected client pages of www.digitalnewsagency.com.
3.3 The content provided is dynamic and we retain the right to adjust, withdraw or replace any content without prior notice.
3.4 Any rights not expressly granted in these Terms are reserved in full. 

4. SERVICE ACCESS
4.1 We shall not in any way be liable if for any reason content is unavailable at any time or for any period. Access to content may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for other reasons. 
4.2 We reserve the right to refuse access to content or any part of it at any time either to groups of users, individual users or generally for any reason. We shall not be responsible for any connection or access to the content by you or the quality of the transmission of any information passing between you and us.
4.3 Whilst we take precautions to protect content from viruses, pop-ups and other malicious software, the use of the content is entirely at your own risk and you should therefore take all steps necessary to protect your computer software and hardware.

If any such Information changes, you agree to notify us of such changes so that the Information remains at all times true, accurate, complete and not in any way misleading. 
5.2 If for any reason any of the Information is not true, accurate, complete and/or is misleading or we believe this to be the case, we hereby reserve the right to suspend, terminate your ability to download or restrict your future ability to access this site. 
5.3 By registering as a registered user or by accessing and downloading content, you agree to us using the information you provide in accordance with our Privacy Policy.

6. DISCLAIMER
6.1 We do not warrant the accuracy and/or completeness of the content. We may make changes to the content, at any time without notice.
6.2 The content is provided "as is", without any conditions, warranties and/or other terms of any kind. Accordingly, to the maximum extent permitted by law, we allow you to access the content on the basis that we exclude all representations, warranties, conditions and other terms (including, without limitation, the conditions implied by law of satisfactory quality, fitness for purpose and the use of reasonable care and skill) which, but for these Terms might have effect in relation to the content.

7. LIABILITY AND DISPUTES
7.1 We, any other party (whether or not involved in creating, producing, maintaining and/or delivering the content), and any of our affiliated entities and the officers, directors, employees, shareholders and/or agents of any of them, exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party whether in tort (including without limitation negligence), contract or otherwise in connection with the content in any way or in connection with the use, inability to use or the results of use of the content and any websites linked to the content.
7.2 Without prejudice to the generality of paragraph 8.1 above, we, any other party (whether or not involved in creating, producing, maintaining and/or delivering the content), and any of our affiliated entities and the officers, directors, employees, shareholders and/or agents of any of them, exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party whether in tort (including without limitation negligence), contract or otherwise in connection with any loss or damage due to viruses that may infect your computer equipment, software, data or other property on account of your access to, use of, and/or your downloading of the content or any websites linked to the content. 
7.3 Nothing in these Terms shall exclude or limit our liability for: (a) death or personal injury caused by negligence (as such term is defined by the Unfair Contract Terms Act 1977); or (b) fraud; or (c) any liability which cannot be excluded or limited under applicable law. 
7.4 If, as a result of using the content, you require servicing, repair or correction of equipment, software or data, you agree that you alone will bear any and all costs related to such servicing, repair or correction and that we shall not in any way be responsible to you for this. 
7.5 If we waive any breach by you of these Terms this will not prevent us from later requiring you to comply with any waived obligation.

8. ENTIRE AGREEMENT
8.1 This Agreement represents the entire agreement between you and us in relation to your use of the content we make available to you, and it supersedes all prior or contemporaneous communications (whether in writing, oral or electronic) between you and us with respect to the content. Any waiver of any term of this Agreement will only be effective if in writing and signed by both parties and no waiver by us of any right or remedy under this Agreement will prevent us from enforcing any of its rights or remedies in any other situation where you breach this Agreement. 

9. NATURE OF RELATIONSHIP / SEVERABILITY
9.1 No joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement or your utilisation of the content. If any provision of this Agreement is held unenforceable by a court or tribunal of competent jurisdiction, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect. 

10. GOVERNING LAW AND JURISDICTION
10.1 These Terms shall be governed by and construed in accordance with English law. Disputes arising in connection with the Terms shall be subject to the exclusive jurisdiction of the English courts.
